Web development: web applications, SaaS platforms, mobile PWAs, CMS systems, DevOps setup, MVP development. All deliverables are digital: source code repositories, deployed applications, technical documentation, and architecture diagrams.
Projects under $200: 100% upfront. $200-$400: 50% upfront, 50% on delivery. Over $400: 40% upfront, 30% at midpoint, 30% on delivery. All payments via Stripe in USD. Nebraska does not impose sales tax on custom software development services (Neb. Rev. Stat. §77-2701.16). Late payment: 1.5% monthly interest per Nebraska Uniform Commercial Code.
All source code, documentation, and deliverables become the exclusive property of the Client upon receipt of full payment (work-for-hire under 17 U.S.C. §101). OdinDevs retains no license to the delivered code. Portfolio mention only with written Client consent. Open-source dependencies remain under their original licenses (MIT, Apache 2.0, etc.).
Mutual NDA in effect for all engagements. Client data, source code, business logic, and trade secrets treated as strictly confidential. Obligation survives termination by 3 years. Excludes information that becomes publicly available through no fault of OdinDevs.
30-day warranty on all delivered code covering: bugs, errors, and deviations from agreed specifications. Does not cover: changes made by Client or third parties, third-party API failures, hosting provider outages, or requirements not in the original scope document.
Total liability shall not exceed fees paid by Client in the 12 months preceding the claim. OdinDevs shall not be liable for: indirect, consequential, incidental, or punitive damages; lost profits or revenue; data loss; or third-party service failures. This limitation applies to the fullest extent permitted by Nebraska law.
Either party may terminate with 14 days written notice. Upon termination: Client receives all completed work; partial payment prorated by completed milestones; outstanding invoices due within 30 days.
Good-faith negotiation first (30 days). Then mediation through the Nebraska Mediation Center. Then binding arbitration under the Federal Arbitration Act (9 U.S.C. §1 et seq.) administered by AAA, seated in Dodge County, Nebraska. Each party bears its own costs.
